Terms of Service

Before you publish

A working draft, not legal advice. Fill every [bracketed] field and get it reviewed. The liability and deliverables clauses need to match your actual client contracts — a mismatch between website terms and signed agreements is worse than having neither.

1. Who these terms apply to

These terms govern use of this website, operated by Upshiftz ([registered entity name]). Client services are governed by a separate written agreement; where that agreement conflicts with these terms, the agreement takes precedence.

2. What we do

We provide advisory and programme management services to B2B software and technology companies seeking to increase the volume and consistency of authentic customer reviews on third-party review platforms. Our work consists of research, benchmarking, customer mapping, message drafting for our clients' own teams, workflow design, coordination, tracking and reporting.

3. What we do not do

We do not write, ghostwrite, fabricate or submit reviews or testimonials. We do not supply reviewers or create accounts on behalf of any individual. We do not offer payment or inducement to any reviewer. We do not attempt to remove, suppress or influence the content of feedback written by any individual. We do not guarantee any rating, score, ranking, recognition, badge, award or placement on any platform, and we do not guarantee platform approval of any submission.

All programmes are designed to comply with the published review-solicitation policies of the relevant platform. If a client instructs us to act outside those policies, we will decline and may terminate the engagement.

4. No affiliation with platforms

Upshiftz is independent. We are not affiliated with, endorsed by, certified by or a partner of G2.com, Inc., Gartner, Inc., Capterra, TrustRadius, PeerSpot or any other review platform. All trademarks referenced belong to their respective owners and are used descriptively only.

5. No guarantee of outcomes

Participation depends on the willingness and eligibility of a client's own customers, and on platform decisions outside our control including verification, moderation and methodology changes. We commit to process and effort, not to a specific number of published reviews or any platform outcome. All figures, charts, tables, scores and dashboard values shown on this site are illustrative examples and do not represent measured client results. Review Health is our own internal assessment framework and is not issued or recognised by any platform.

6. Website content

Content here is general information and may change without notice. It is not professional, legal or marketing advice you should rely on without taking your own.

7. Intellectual property

All content on this site, other than third-party trademarks, is owned by Upshiftz. You may not reproduce or redistribute it commercially without written permission.

8. Limitation of liability

To the maximum extent permitted by law, Upshiftz is not liable for indirect, incidental or consequential loss, or loss of profit, revenue or business, arising from use of this website. [Liability caps for client engagements are set in the relevant client agreement — state the cap basis here or cross-refer.] Nothing limits liability for fraud or anything that cannot lawfully be limited.

9. Third-party links

We are not responsible for the content or practices of external sites we link to.

10. Governing law

These terms are governed by the laws of [jurisdiction], and the courts of [location] have exclusive jurisdiction. [If you intend to serve UK and EU clients, take advice on whether this clause will hold — enterprise clients frequently insist on their own jurisdiction.]

11. Changes

We may update these terms. Continued use after a change means you accept the revised version.
